Terms of service

Draft for review — not yet in effect. Effective date to be announced.

1. Who we are

Provenance ("Provenance", "we", "us") is a platform for building a verified record of your work on real projects. It is operated by PROVENIER INNOVATION LIMITED, a company registered in Nigeria. Our registered address will be published here before these terms take effect. You can reach us at help@provenier.com.
These terms are a contract between you and PROVENIER INNOVATION LIMITED. They apply whenever you use Provenance on the web, on our phone apps or in our desktop app.
Two other documents form part of these terms:
  • the Privacy Policy, which explains what data we hold about you and why;
  • the Engagement Policy, which sets out what project leads and collaborators owe each other and how everyone must behave in the community.

2. Who can use Provenance

  • You must be 18 or older. We ask you to confirm this when you sign up and again before you join a project. If we learn that an account belongs to someone under 18, we will close it.
  • You may hold one account. We may merge or remove extra accounts. Opening a new account to get around a suspension or a ban is not allowed.
  • If you use Provenance for an organisation (as a partner or recruiter), you confirm that you are authorised to act for it.

3. Your account

  • Keep your sign-in details safe. You can sign in with a password, a one-time e-mail code, Google or a passkey, and you can turn on two-factor authentication.
  • You are responsible for what happens under your account unless it was used without your permission and you told us promptly.
  • We may ask you to complete a security check (for example a Cloudflare Turnstile challenge) after repeated failed sign-ins.

4. What Provenance is — and is not

Provenance lets you:
  • find and join projects, apply for roles, and work on tasks and milestones;
  • record contributions and have them verified by the project lead;
  • keep a profile with your verified record, a credibility percentage, points, levels and streaks;
  • message other members, hold voice and video huddles, and take part in community channels;
  • connect tools such as GitHub and Penpot to a project;
  • as a recruiter or partner, find members and view their profiles.
Verification is a process, not a guarantee. "Verified" means that the project lead confirmed the contribution and the evidence checks for its tier were completed. It does not mean that we have assessed the quality of the work or the competence of the person. Contributions from projects that are not eligible for credibility are labelled "self-reported".
Credibility is a signal, not a rating by us of your worth. It is calculated from verified work and the trust network around it. Recruiters see the same number, called "Reliability". We do not publish the accounts that anchor the trust network.

5. Projects, roles and compensation

  • Project roles are offered as equity or volunteer roles.
  • Provenance is not a party to any agreement between a project and a collaborator, including any promise of equity. We do not guarantee that a project will incorporate, that equity will be issued, or what it will be worth.
  • Where a project is not incorporated, any equity it offers is a contractual promise from the project, not present ownership of shares.
  • Where we review an equity offer, we check it only against platform policy (for example the permitted range and completeness of disclosure). Provenance does not evaluate, endorse, or advise on the investment merits of any offering. Nothing on Provenance is investment advice.

6. Your content

"Your content" means what you post or upload: your profile, contributions and evidence, messages, posts, ideas, files and media.
  • You keep ownership of your content.
  • You give us a worldwide, non-exclusive, royalty-free licence to host, store, copy, display and send your content only as needed to run Provenance and to show it to the people you share it with. This licence ends when your content is deleted, except as set out in section 12.
  • Work you do for a project: the work product belongs to the project entity under your agreement with it. You keep a perpetual right to display the verified record of your work (titles, descriptions and approved artefacts) on your Provenance profile.
  • Do not post content that you have no right to share.

7. Using Provenance fairly

You must not:
  • break the law, or post content that is unlawful, harassing, hateful, sexually explicit or threatening;
  • impersonate anyone or misrepresent your work;
  • inflate your record or anyone else's: no fake contributions, no verifying your own work through another account, no trading verifications or vouches, no rings of accounts confirming each other;
  • scrape, harvest or bulk-download members' data, or use recruiter access for anything other than recruiting;
  • probe, overload or break our systems, or get around limits, paywalls or security checks;
  • record a huddle without the agreement of everyone in it.
The Engagement Policy gives more detail and applies alongside these rules.
Zero tolerance: Provenance does not tolerate objectionable content or abusive members. Any member can report a post, a message or a member, and can block a member, from inside the app. Provenance reviews every report within 24 hours, removes content that breaks these rules and suspends the members who post it or who abuse others.

8. Paid seats

  • Each project gets a free allowance of five seats, including the project lead. A project lead can buy extra seats at US$3 per seat per month (minimum one). Paid seats also unlock group huddles for the project.
  • The project lead pays for their project's seats. You buy on the web; the phone apps show your plan but do not sell it.
  • Payments are processed by Flutterwave. We do not see or store your full card number; we keep the card brand, the last four digits and a token Flutterwave gives us so that a monthly plan can renew.
  • A monthly plan renews automatically every month until you cancel. You can also pay for a period in advance.
  • Prices are in US dollars. Your bank may convert the amount and charge its own fees. How taxes apply to seat fees will be stated here before these terms take effect.
  • If a renewal fails, we try again on day 1 and day 3. After 5 days the plan lapses. When a plan lapses, the project drops back to the free allowance: the lead picks which members stay active, the others become read-only, and connected tools (such as the Penpot team and the GitHub repository) reflect the change.

9. Cancellation and refunds

  • You can cancel at any time. Cancelling stops the next renewal; your seats stay active until the end of the period you have already paid for, and then the plan lapses.
  • We do not give partial refunds for unused time in a period.
  • Your statutory rights are not affected. If we charged you in error (for example twice for the same period, or the wrong amount), we will refund the charge.
  • If you dispute a charge with your bank rather than contacting us, the seats that charge paid for may be withdrawn while the dispute is open.

10. Tools you connect

When a project connects GitHub, Provenance creates repositories in the connected organisation, invites project members as collaborators using the GitHub account they have linked, opens an issue for each task, and reads merged pull requests and reviews as evidence. When a project uses Penpot, we invite members to the project's Penpot team at their Provenance e-mail address. Leaving or being removed from a project removes that access. Your use of GitHub is also governed by GitHub's own terms.

11. Suspension and closing accounts

  • We may suspend or remove content or accounts that break these terms or the Engagement Policy. Suspension signs you out everywhere and hides your public profile; your verified contributions are kept so that other members' records stay accurate.
  • A workspace administrator can suspend or remove a membership in their own workspace only. Account-wide action is taken only by the Provenance operator.
  • Where we suspend you, we tell you why and how to appeal, unless the law or safety prevents it.
  • To discourage people returning under a new account, we keep a protected (keyed-hash) record of a suspended account's e-mail address and linked sign-in accounts for 24 months.

12. Deleting your account

You can delete your account in the app. Deleting it is permanent: you are signed out on every device and the account cannot be used again. Other members' records that include your work keep it, without your name. The Privacy Policy lists what we keep and for how long.

13. Availability and changes

We are building Provenance continuously. Features may change, and the service may occasionally be unavailable. We will give reasonable notice before we remove a paid feature you are paying for.

14. Disclaimers and liability

The disclaimers that apply to Provenance and the limits on each side's liability will be stated here before these terms take effect.

15. Law and disputes

The governing law and the forum for disputes will be stated here before these terms take effect. Before starting formal proceedings, please contact help@provenier.com so we can try to resolve the matter.

16. Changes to these terms

If we change these terms in a way that matters, we will tell you in the app or by e-mail before the change takes effect and ask you to accept the new version. If you do not accept, you can delete your account.
